Summary:
The Specialist, Business Development and M&A will work closely with key leaders across the organization to drive actions that shape ADM’s future portfolio of businesses in Latin America. This position has focus on business development, mergers and acquisitions, divestitures and JV Alliances. It is also both demanding and rewarding with high visibility and exposure.
Main Activities
* Lead the end-to-end M&A life cycle (sourcing, analysis and execution) of M&A/JV/Divestment projects.
* Partner with the regional PMO team to coordinate all due diligence activities across all primary functional areas such as Finance, IT, HR, Commercial, Operations, Procurement, Legal, Compliance etc.
* Build complex financial models for merger, acquisition, divestiture and joint-venture activities, and own the process for key valuation metrics like business forecast, synergies, investment returns metrics, earnings per share, etc.
* Liaise with third party service providers such as consultants, accounting firms, investment banks, law firms.
* Prepare lookback analysis aiming to find potential bottlenecks in previous M&A/JV projects, mapping lessons learned for future projects.
* Perform both internal and external strategic analyses to become better informed about current business conditions and conduct landscaping studies. In liaison with the commercial teams, build, track and maintain a robust pipeline of opportunities.
* Develop and review the business cases for regional capital expenditures for growth and efficiency initiatives.
* Prepare lookback analysis aiming to find potential bottlenecks in previous investment projects, mapping lessons learned for future projects.
Requirements
* Previous experience in corporate finance, M&A and/or corporate development roles.
* Experience with acquisition, divestitures and joint venture valuations, contract negotiations, and due diligence.
* Ability to identify and address cross-functional issues that may be relevant to completing or implementing acquisitions and alliances.
* Demonstrate commercial acumen and desire to learn.
* Proficiency in Excel financial modeling and Power Point presentation.
* Advanced English to create and deliver presentations.
* Spanish will be considered a plus.
* Experience in either corporate development or investment bank, management / strategy consulting is a plus.
